1. Acceptance of Terms

By accessing or using the Willowfield Enterprises website, platform, or services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Willowfield Enterprises, LLC ("Willowfield," "Company," "we," "us," or "our").

Willowfield Enterprises provides meat brokerage, commodity trading facilitation, market data and analytics, and related business services to commercial clients in the meat and protein industry. Our Services include but are not limited to:

  • Brokerage of beef, pork, and other protein products between buyers and sellers
  • Market data, price reports, and industry analysis
  • CRM and trading platform access for registered users
  • Newsletters, market briefs, and informational communications
  • Product specification sheets and quote requests

3. Eligibility

Our Services are intended for use by businesses and individuals who are at least 18 years of age and have the legal capacity to enter into binding agreements. By using our Services, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

Certain features of our Services require you to create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and not share them with third parties
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services for any illegal or unauthorized purpose
  • Transmit any material that is defamatory, obscene, fraudulent, or otherwise objectionable
  • Attempt to gain unauthorized access to our systems, accounts, or data
  • Interfere with or disrupt the Services or servers and networks connected to the Services
  • Use automated systems (bots, scrapers, etc.) to access the Services without our written permission
  • Resell, redistribute, or sublicense access to the Services or any data obtained through the Services without our written consent
  • Use the Services in any way that could damage, disable, or impair our infrastructure

6. Communications and Messaging

By providing your contact information (including phone number and email address) and using our Services, you consent to receive communications from Willowfield Enterprises, including:

  • Transactional Messages: Order confirmations, quote responses, account notifications, and other messages directly related to your use of our Services
  • Service Messages: Market updates, price alerts, daily briefs, and other information related to the services you have requested or subscribed to
  • Marketing Messages: Newsletters, promotional offers, and information about our products and services

SMS/Text Messages: If you provide your mobile phone number, you consent to receive text messages (SMS) from us related to your account, transactions, and services you have requested. Message and data rates may apply. Message frequency varies. You may opt out of SMS messages at any time by replying STOP to any message or by contacting us directly. Reply HELP for assistance.

Email Communications: You may opt out of marketing emails at any time by clicking the "unsubscribe" link in any email. Opting out of marketing emails does not affect transactional or service-related communications.

We will not send unsolicited messages to individuals who have not provided their contact information to us or opted in to receive communications.

7. Intellectual Property

All content, materials, and features available through the Services — including text, graphics, logos, data, software, market analysis, and reports — are owned by or licensed to Willowfield Enterprises and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from our Services without our prior written consent, except as necessary for your own internal business use in connection with the Services.

8. Market Data and Information

Market data, price information, analysis, and reports provided through our Services are for informational purposes only. While we strive for accuracy, we do not guarantee the completeness, reliability, or timeliness of any market data. You acknowledge that:

  • Market data may be delayed or contain errors
  • Trading decisions should not be based solely on information provided through our Services
  • We are not liable for any losses resulting from reliance on market data or information provided through our Services
  • USDA and other third-party data is provided subject to those organizations' own terms and conditions

9. Brokerage Transactions

Willowfield Enterprises acts as a broker facilitating transactions between buyers and sellers. We do not take ownership or possession of products unless otherwise specified. You acknowledge that:

  • All transactions are subject to separate purchase/sale agreements between the parties
  • We do not guarantee the performance, quality, or delivery of products by third parties
  • Pricing, availability, and terms are subject to change and confirmation
  • Brokerage commissions and fees will be disclosed prior to transaction completion

10. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WILLOWFIELD ENTERPRISES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Willowfield Enterprises, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of any third party.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) will survive.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Willowfield Enterprises regarding your use of the Services and supersede any prior agreements.
